Welcome to Billbooks
Information transferred between your browser and Billbooks is encrypted in transit using modern TLS on a publicly trusted certificate. The padlock in your browser confirms you are connected to the genuine Billbooks service.
In these terms we call this web site, any successor web sites (together, the “Site”) and the software we provide the “Application”. The Application includes (i) your use of the Billbooks API. We refer to the services provided by the Application as the “Services”.
In these Terms, our customers and their staff members to whom they give “staff” access to their Billbooks account are called “Subscribers”, and our customers’ customers who use the Services (for example, to view or pay Subscribers’ invoices) are called “Customers”. In these Terms users of the Services, whether they are Subscribers, Customers, or casual browsers of the Site, are called “Users”.
Please read these Terms carefully before using the Services. By accessing or using the Services you agree to be legally bound by these Terms and all terms, policies and guidelines incorporated by reference in these Terms. If you do not agree with these Terms in their entirety, you may not use the Services.
The Services are not intended to be used by children. You must be at least 18 years old, or the age of majority where you live if that is higher, to use the Services.
The Services are for your own use only. You may not resell, lease or provide them in any other way to anyone else, except as expressly permitted through the Application.
Billbooks reserves the right to change or modify any of the terms and conditions contained in these Terms, or any policy or guideline applicable to the Services, at any time and in its sole discretion. If we do so, we will notify you at the email address you provide in your registration information, if any. If you do not agree with the changes, you can cancel your account with us without further obligation, except for the amount due for the balance of the billing period in which you cancel your account (if your billing period is monthly, we will prorate your account to the nearest month-end after cancellation).
Unless otherwise specified, any changes or modifications will be effective immediately upon posting of the revisions on the Site, and your continued use of the Services after such time will constitute your acceptance of such changes or modifications. You should from time to time review the Terms and any policies and documents incorporated in them to understand the terms and conditions that apply to your use of the Services. The Terms will always show the ‘last updated’ date at the top. If you do not agree to any amended Terms, you must stop using the Services. If you have any questions about the Terms, please email us at su*****@*******ks.com
Please refer to Billbooks’s privacy policy, available at https://www.billbooks.com/privacy-policy/ (the “Privacy Policy”) for information on how Billbooks collects, uses and discloses personally identifiable information from its users. By using the Services you agree to our use, collection and disclosure of personally identifiable information in accordance with the Privacy Policy.
If you register for an account on the Services, you agree to (a) provide accurate, current and complete information as may be prompted by any registration forms on the Services (“Registration Data”); (b) maintain the security of your password and your API key; (c) maintain and promptly update the Registration Data, and any other information you provide to Billbooks, and to keep it accurate, current and complete; and (d) accept all risks of unauthorized access to the Registration Data and any other information you provide to Billbooks. You are responsible for all activity on your Billbooks account, and for all charges incurred by your Billbooks account.
Some features of the Services require a paid subscription. The plans, their prices and what each plan includes are shown at https://www.billbooks.com/pricing/ and in the Application before you buy. We may change plans, features and prices from time to time; a change to the price of a plan you already hold takes effect at your next renewal, and we will tell you before it does.
A subscription bought on the web is billed in advance for the billing period you choose, through our payment processor, and renews automatically for the same period until you cancel it. You can cancel at any time from your account, or by writing to su*****@*******ks.com. Cancelling stops the next renewal; your plan keeps working until the end of the period you have already paid for. Subscriptions bought in our mobile apps are covered by the section below headed Mobile App Subscriptions.
Prices are shown in the currency you are charged in at checkout. You are responsible for any taxes, duties, bank charges or currency conversion costs that apply to your purchase, except for taxes on our own income or any tax we are required to collect and remit.
If a payment fails, we may retry it and may suspend access to paid features until it succeeds. We do not store your full card details: payments on the web are processed by our payment processor, and payments in the mobile apps are processed by Apple or Google.
Billbooks may offer auto-renewable subscription plans through the Apple App Store and Google Play Store. These subscriptions provide access to premium features and services available within the Billbooks mobile application.
The subscription plans available through the Billbooks mobile application, including the subscription duration, applicable price, and features included with each plan, will be displayed in the application before you complete your purchase. Prices may vary depending on your country or region and may be displayed in the applicable local currency.
When you purchase a subscription through the Apple App Store, payment will be charged to your Apple Account at confirmation of purchase. The subscription automatically renews unless you turn off auto-renewal at least 24 hours before the end of the current subscription period. Your Apple Account will be charged for renewal within 24 hours before the end of the current subscription period.
You can manage or cancel your Apple App Store subscription through your Apple Account subscription settings. Cancelling a subscription prevents future renewal but generally does not terminate access before the end of the current paid subscription period.
When you purchase a subscription through Google Play, payment will be charged through your Google Play account in accordance with Google’s applicable billing terms. The subscription automatically renews unless you cancel it in accordance with the applicable Google Play subscription settings and terms.
You can manage or cancel your Google Play subscription through your Google Play account subscription settings. Cancelling a subscription prevents future renewal but generally does not terminate access before the end of the current paid subscription period.
Your access to Billbooks premium features is available while your subscription remains active. Access may end when your subscription expires, is cancelled and the applicable paid period ends, or a renewal payment cannot be successfully completed, subject to any applicable billing grace period or recovery period provided by the applicable app store.
Cancelling an Apple App Store or Google Play subscription stops future renewals but does not necessarily provide a refund for the current subscription period.
Refund requests for subscriptions purchased through the Apple App Store or Google Play Store are handled in accordance with the applicable app store’s refund policies and procedures.
Billbooks may change subscription plans, features, or pricing from time to time, subject to applicable law and the policies and requirements of the applicable app store. Where required, customers will be notified of changes or asked to provide consent before a price change takes effect.
In these Terms the content available through the Services, including all information, data, logos, marks, designs, graphics, pictures, sound files, other files, and their selection and arrangement, is called “Content”. Content provided by Users, whether they are Subscribers, Customers or other Users, is called “User Content”. For example, data about its Customers and about its timesheet entries that a Subscriber provides to the Services is User Content of that Subscriber, data about its payments that a Customer provides to the Services is User Content of that Customer.
User Content is that User’s property. Billbooks only right to that User Content is the limited licenses to it granted in these Terms. Those licenses are described in the sections below headed “Your Limited License of your User Content to Billbooks” and “Use of Interactive Areas and the Services”.
Other than the User Content, Services, all Content and all software available on the Services or used to create and operate the Services is the property of Billbooks or its licensors, and is protected by US and international copyright laws, and all rights to the Services, such Content and such software are expressly reserved. All trademarks, registered trademarks, product names and company names or logos mentioned in the Services are the property of their respective owners. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by Billbooks.
Your User Content is your responsibility. We have no responsibility or liability for it, or for any loss or damage your User Content may cause to you or other people. Although we have no obligation to do so, we have the absolute discretion to remove, screen or edit without notice any User Content posted or stored on the Services, and we may do this at any time and for any reason. You are solely responsible for maintaining copies of and replacing any User Content you post or store on the Services. If you authorize third parties to access your User Content through the Services, including through the Billbooks API or an Add-on, you agree that we are permitted to provide to them the User Content, and also agree that we have no responsibility or liability for their use of such User Content.
You are responsible for all taxes applicable to the fees and charges in any applicable jurisdiction.
We do not claim any ownership interest in your User Content, but we do need the right to use your User Content to the extent necessary to operate the Site and provide the Services, now and in the future. For example, if you are a Subscriber and enter timesheet data in relation to a Customer and configure your account to display timesheet data to your Customers, we need your license to that User Content to use it in the operation of the Services, and we need the right to sublicense that User Content to your Customers for that purpose.
Therefore, by posting or distributing User Content to or through the Services, you (a) grant Billbooks and its affiliates and subsidiaries a non-exclusive, royalty-free, transferable right to use, display, perform, reproduce, distribute, publish, modify, adapt, translate and create derivative works from such User Content, in the manner and for the purposes for which the Services from time to time use such User Content; (b) represent and warrant that (i) you own and control all of the rights to the User Content that you post or otherwise distribute, or you otherwise have the lawful right to post and distribute that User Content, to or through the Services; and (ii) the use and posting or other transmission of such User Content does not violate these Terms and will not violate any rights of or cause injury to any person or entity.
If your User Content is intended for the use of other Users (for example, if you issue invoices to Customers or authorize third parties to access your User Content through the Billbooks API), you also grant us and our affiliates and subsidiaries a non-exclusive, royalty-free, transferable right to sublicense such User Content to such Users for their use in connection with their use of the Services, as described in this section.
These licenses from you are non-exclusive because you have the right to use your User Content elsewhere. They are royalty-free because we are not required to pay you for the use of your User Content on the Services. And they are transferable because we need the right to transfer these licenses to any successor operator of the Services. Our rights to “modify, adapt, translate, and create derivative works from” are necessary because the normal operation of the Services does this to your User Content when it processes it for use in the Services.
While your account is active, and provided you comply with these Terms, Billbooks grants you a personal, non-exclusive, non-transferable, revocable licence to use the Services and the Content we make available through them for your own business purposes. You may produce, download and keep the documents you create with the Services, such as your invoices, quotes and reports, and use them freely in your business.
This licence does not allow you to copy, resell, sublicense or redistribute the Services or our Content, to use them to build a competing product, or to extract our Content in bulk by any automated means except through the Billbooks API within the limits we publish. We may add, change or withdraw features of the Services, and we will not remove a feature that is central to a plan you are paying for without telling you first.
The Services may include discussion forums, bulletin boards, review services or other forums in which you or third parties may post reviews or other content, messages, materials or other items on the Services (“Interactive Areas”). If Billbooks provides such Interactive Areas, you are solely responsible for your use of such Interactive Areas and use them at your own risk. User Content submitted to any public area of the Services will be considered non-confidential. You agree not to post, upload, transmit, distribute, store, create or otherwise publish through the Services any of the following:
Billbooks is a registered trademark of Billbooks Pty Ltd. In addition, graphics, logos, page headers, button icons, scripts, and service names included in or made available through any Billbooks Service are trademarks or trade dress of Billbooks in the U.S. and other countries. Billbooks’s trademarks and trade dress may not be used in connection with any product or service that is not Billbooks’s, in any manner that is likely to cause confusion among customers or in any manner that disparages or discredits Billbooks. All other trademarks not owned by Billbooks that appear in any Billbooks Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Billbooks.
Every plan can be tried before you pay: the free trial runs for 30 days, with no card required, so you can decide whether the Services suit you before any charge is made.
Payments for subscriptions bought on the web are not refundable once a billing period has started, except where a refund is required by law. If something has gone wrong, write to su*****@*******ks.com within 14 days of the charge and we will look at it case by case; where we agree a refund, we may refund the whole charge or the unused part of it.
We do not give refunds for periods in which an account was simply unused, or for a plan cancelled part way through a period. Refunds for subscriptions bought through the Apple App Store or Google Play are handled by Apple or Google under their own policies, as set out in the section above headed Mobile App Subscriptions.
These Terms and Conditions of Use (the “Terms of Use”) apply to the Billbooks web site located at www.billbooks.com, and all associated sites linked to www.billbooks.com by Billbooks, its subsidiaries and affiliates, including Billbooks sites around the world (collectively, the “Site”). The Site is the property of Billbooks Pty Ltd (“Billbooks”) and its licensors. BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.
Billbooks reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, Billbooks grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site.
All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork and computer code (collectively, “Content”), including but not limited to the design, structure, selection, coordination, expression, “look and feel” and arrangement of such Content, contained on the Site is owned, controlled or licensed by or to Billbooks, and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.
Except as expressly provided in these Terms of Use, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including “mirroring”) to any other computer, server, Web site or other medium for publication or distribution or for any commercial enterprise, without Billbooks express prior written consent.
You may use information on Billbooks products and services (such as data sheets, knowledge base articles, and similar materials) purposely made available by Billbooks for downloading from the Site, provided that you (1) not remove any proprietary notice language in all copies of such documents, (2) use such information only for your personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any media, (3) make no modifications to any such information, and (4) not make any additional representations or warranties relating to such documents.
BILLBOOKS DOES NOT PROMISE THAT THE SITE OR ANY CONTENT, SERVICE OR FEATURE OF THE SITE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF THE SITE WILL PROVIDE SPECIFIC RESULTS. THE SITE AND ITS CONTENT ARE DELIVERED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. ALL INFORMATION PROVIDED ON THE SITE IS SUBJECT TO CHANGE WITHOUT NOTICE. BILLBOOKS CANNOT ENSURE THAT ANY FILES OR OTHER DATA YOU DOWNLOAD FROM THE SITE WILL BE FREE OF VIRUSES OR CONTAMINATION OR DESTRUCTIVE FEATURES. BILLBOOKS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. BILLBOOKS DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF THE SITE AND/OR ANY BILLBOOKS SERVICES. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE SITE AND ANY LINKED SITES. YOUR SOLE REMEDY AGAINST BILLBOOKS FOR DISSATISFACTION WITH THE SITE OR ANY CONTENT IS TO STOP USING THE SITE OR ANY SUCH CONTENT. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.
You may stop using the Services at any time, and you may delete your account from within the Application. Deleting your account removes your data as described in the Privacy Policy, and cannot be undone.
We may suspend or terminate your access to the Services if you breach these Terms, if your payment fails and is not corrected, if your use puts the Services, other Users or us at risk, or if we are required to do so by law. Except where the breach is serious or the law requires otherwise, we will give you notice and a reasonable chance to put it right. If we terminate your account without cause, we will refund the unused part of any period you have paid for.
On termination, your right to use the Services ends. Before you delete your account, you should download any documents and data you want to keep.
Nothing in these Terms excludes or limits any right you have that cannot be excluded or limited by law, including under the Australian Consumer Law. Where our liability can be limited but not excluded, our liability is limited, at our option, to supplying the Services again or paying the cost of having them supplied again.
Subject to that, Billbooks is not liable for indirect or consequential loss, or for loss of profits, revenue, goodwill, business opportunity or data, arising out of or in connection with the Services, and our total liability to you for all claims in any 12 month period is limited to the amount you paid us for the Services in that period.
The Services help you create and send business documents. They are not legal, tax or accounting advice, and the figures they produce are only as good as the information you enter. You are responsible for checking your invoices, tax settings and reports before you rely on them.
You agree to indemnify Billbooks against any claim brought against us by a third party because of your User Content, your use of the Services in breach of these Terms, or your breach of any law or of the rights of another person. We will tell you promptly about any such claim and give you a reasonable opportunity to take part in its defence.
These Terms are governed by the laws of New South Wales, Australia. You and Billbooks submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts able to hear appeals from them. If the law of the country you live in gives you rights that cannot be given up, those rights still apply to you.
If you have a problem with the Services, please write to su*****@*******ks.com first. Most issues are settled that way, and we will try to resolve any dispute with you in good faith before either of us starts proceedings.
These Terms, together with the Privacy Policy and any other policy we refer to in them, are the entire agreement between you and Billbooks about the Services. If any part of them is found to be unenforceable, the rest continues to apply. If we do not enforce a right straight away, that does not mean we give it up. You may not transfer your rights under these Terms without our consent; we may transfer ours to a successor operator of the Services.
